Terms of Service

Last updated: September 21, 2026

These terms govern your use of this website and any services you purchase from Nickel Web Co., a sole proprietorship operated by Nicholas Ottaway in Ontario, Canada. By using this site or engaging us, you agree to them.

1. What we do

We design and build websites, and we set up and operate marketing automations. The specific work for any client is defined in a written proposal. Where a proposal conflicts with these terms, the proposal governs.

2. Proposals and acceptance

Prices are quoted individually following a call. A quote is valid for 30 days. Work begins once you accept the proposal in writing and pay the deposit.

3. Fees

Build fee. A one-time fee for designing and building your site, set out in your proposal. A deposit is payable up front and the balance is due before launch.

Monthly plan. Automations, hosting, and maintenance are provided on a monthly subscription billed in advance. The monthly fee covers software licensing, message sending costs, hosting, and ongoing support.

Taxes. Fees are exclusive of applicable taxes, which are added where required.

Late payment. If a payment fails or is more than 10 days overdue, we may suspend services until the account is current.

4. Cancellation, and what happens to your site

You can cancel the monthly plan at any time. Cancellation takes effect at the end of your current billing period. We don't prorate partial months.

What cancelling means. Your automations stop and we stop hosting your website, which means the live site goes offline. Your domain is registered in your name and remains yours. On request, and provided your account is paid in full, we'll provide your site's source code within 14 days so you can host it elsewhere. What ends is our hosting of it, not your ownership of it.

Refunds. The deposit is non-refundable once work begins. If you cancel before your site launches, we'll refund any amount you've paid beyond the deposit. Once a site is live the build fee is non-refundable. Monthly fees already paid are not refunded.

5. What you're responsible for

  • Providing content, images, and information we need, within a reasonable time
  • Ensuring you have the right to use anything you give us
  • Reviewing and approving work when we ask
  • Keeping your own account credentials secure
  • Complying with the law in how you use what we build, including anti-spam legislation when sending marketing messages through automations we set up

Delays caused by waiting on you extend timelines and don't entitle you to a refund.

6. Who owns what

You own the final website we deliver, the content you provided, and your domain. Ownership of the site transfers to you once the build fee is paid in full.

We retain ownership of the tools, code libraries, components, templates, and methods we use across projects. You receive a perpetual licence to use those as part of your site, but not to resell or redistribute them separately.

Third-party components such as fonts, stock imagery, plugins, and platform software are licensed rather than owned, and remain subject to their own terms.

Portfolio. We may describe work we've done in general terms. We won't publish your name, logo, or screenshots of your site without your written permission.

7. Third-party services

Your site and automations depend on services we don't control, including GoHighLevel, our hosting provider, your domain registrar, and email and SMS carriers. We're not responsible for their outages, price changes, policy changes, or discontinuation. If one of them changes in a way that affects your service we'll tell you and work out an alternative, but we can't guarantee equivalent functionality.

8. No guarantee of results

We build websites and automations designed to generate enquiries. We don't guarantee any particular number of leads, bookings, sales, search rankings, or revenue. Results depend on your market, your offer, your pricing, your follow-up, and factors outside either party's control.

9. Revisions and scope

Your proposal specifies how many rounds of revision are included. Work outside the agreed scope is quoted separately before it begins.

10. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the purposes of the engagement.

11. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of these terms or our services is limited to the amount you paid us in the six months before the claim arose. We are not liable for lost profits, lost revenue, lost data, or indirect or consequential damages. Nothing in these terms limits liability that cannot be limited by law.

12. Termination by us

We may end an engagement on 30 days' written notice, or immediately if you materially breach these terms, fail to pay, or ask us to do something unlawful. If we end an engagement without cause, we'll refund monthly fees covering the unused period.

13. Changes to these terms

We may update these terms, and changes apply from when they're posted. If a change materially affects an active engagement we'll tell you directly.

14. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in it. Disputes are subject to the courts of Ontario.
